Terms of Service

Introduction

These Terms of Service ("Terms") govern your use of Paperline, an AI-powered desktop application for building mobile apps, provided by Paperline, Inc. ("Paperline," "we," "us," or "our").

By creating an account, downloading the application, or using any part of Paperline, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you are not authorized to access or use the service.

1. The Service

Paperline is a desktop application (macOS 13+) that lets you build native iOS mobile apps (SwiftUI) by chatting with an AI agent. The AI generates code, creates UI components, and helps you develop apps through natural language conversation.

Privacy-First: Your source code, project files, chat history, and API keys stay entirely on your local device. We never upload your code, conversations, or API keys to our servers.

2. Account & Eligibility

• Age Requirement: You must be at least 13 years old (or 16 in the EEA/UK). Paperline is not intended for children, and we do not knowingly collect data from children.
• Account Security: Keep your account credentials secure. You are responsible for all activity under your account.
• Accurate Information: Provide accurate and up-to-date information when creating your account.

3. Subscription Plans & Pricing

Paperline operates on a credit-based pricing model. Credits are consumed when you use AI features to generate code, create UI, or get assistance.

Available Plans

We offer multiple subscription tiers with varying credit allocations and features. Current pricing and plan details are available on our website at https://paperline.ai/pricing. Pricing and features are subject to change. We will provide 30 days' notice before any price changes affect your existing subscription.

Credit Packages

Paid plan users can purchase additional credits that never expire. Current credit package pricing is available at https://paperline.ai/pricing.

Credit Rollover

Unused monthly credits roll over to the next month, up to 1× your plan limit. Purchased credits never expire and don't count toward rollover limits.

Billing & Payment

• Subscriptions are billed monthly in advance via Stripe
• Prices are in USD and exclude applicable taxes (your responsibility)
• Payment failures may result in service suspension
• We reserve the right to change prices with 30 days' notice to existing subscribers

4. Cancellation & Refunds

Cancellation

You can cancel your subscription anytime from your dashboard. Cancellation takes effect at the end of your current billing period. You'll retain access to paid features until then.

Unused monthly credits will expire at the end of your billing period. Purchased credits (from credit packages) never expire and remain in your account even after cancellation.

Refunds

• Subscriptions: No refunds for partial months. Cancellation takes effect at the end of your billing period.
• Credit Packages: Purchased credits are non-refundable once added to your account.
• EU Consumers: You have a 14-day right of withdrawal from the date of purchase, except for digital content that has been accessed or credits that have been used.

5. Your Content & Intellectual Property

You Own Your Work: You retain all rights to the apps, code, and content you create with Paperline. We claim no ownership over your projects.

License to Paperline: You grant us a limited, non-exclusive, revocable, royalty-free license to process your prompts and project context solely to provide the service (AI inference, previews, support). This license ends when you delete your account or content.

AI Providers: We use third-party AI providers (Anthropic, OpenAI) for code generation. Your prompts and project context are sent to these providers for inference only. We do NOT use your data to train models. Providers may retain limited logs for safety review per their policies.

Your Responsibility: You are responsible for reviewing AI outputs, ensuring compliance with third-party licenses (SDKs, OSS, App Stores), and verifying that your apps don't infringe others' intellectual property.

6. Acceptable Use

You agree NOT to:

• Use Paperline for illegal activities or to create illegal content
• Generate malware, exploits, or harmful code
• Infringe others' intellectual property rights
• Attempt to bypass rate limits, security measures, or access controls
• Scrape, reverse engineer, or decompile the service
• Share your account credentials or resell access to the service
• Violate app store guidelines or third-party terms of service

Violation may result in account suspension or termination.

7. Warranties & Disclaimers

The service is provided "as is" and "as available" without warranties of any kind. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the service will be uninterrupted and error-free. AI-generated code may contain errors, bugs, or security vulnerabilities. You are responsible for testing and validating all outputs before use.

8. Limitation of Liability

Free Plan: To the fullest extent permitted by law, our total aggregate liability for the Free plan is limited to the greater of US $100 or the amount required by applicable law.

Paid Plans: For paid subscriptions, our total aggregate liability is limited to the amount you paid us in the 12 months preceding the claim.

We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, business interruption, or reputational harm, even if advised of the possibility.

Some jurisdictions don't allow limitations on liability, so these limits may not apply to you.

9. Indemnification

You agree to indemnify and hold harmless Paperline, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: (i) your breach of these Terms, (ii) your violation of any third-party rights, (iii) your violation of applicable laws, or (iv) content you create with Paperline that infringes third-party intellectual property rights.

10. DMCA Copyright Policy

We respect intellectual property rights. If you believe content on Paperline infringes your copyright, please send a DMCA notice to our designated agent:

Your DMCA notice must include:

• Physical or electronic signature of the copyright owner or authorized agent
• Description of the copyrighted work claimed to be infringed
• Description of where the infringing material is located
• Your contact information (address, telephone, email)
• Statement that you have a good faith belief that use is unauthorized
• Statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner

We will respond to valid DMCA notices and may remove infringing content and terminate repeat infringers' accounts.

11. Changes, Suspension, Termination

Changes to Service: We may modify, suspend, or discontinue any part of the service at any time. We'll provide reasonable notice for material changes.

Changes to Terms: We may update these Terms. For material changes, we'll notify you via email or in-app notification at least 30 days before they take effect. Continued use after changes constitutes acceptance.

Termination by You: You can delete your account anytime from your dashboard. Your local projects remain on your device.

Termination by Us: We may suspend or terminate your access for violations of these Terms, non-payment, legal requirements, or if we discontinue the service. We'll provide notice when reasonably possible.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

Any disputes will be resolved through binding arbitration in accordance with the American Arbitration Association rules. However, if you are a consumer residing in the European Economic Area or United Kingdom, you retain the right to bring disputes in your local courts as provided by applicable consumer protection laws.

You may opt out of arbitration within 30 days of account creation by emailing hello@paperline.ai.

13. Miscellaneous

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Paperline.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• No Waiver: Failure to enforce any right doesn't waive that right.
• Assignment: We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign without our consent.
